PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES. BY ACCESSING OR USING THE WEBSITE OR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE WEBSITE OR SERVICES.

To use the services, you must be at least eighteen (18) years old or the age of majority in your jurisdiction. By using the services, you represent and warrant that you satisfy the applicable age requirement.

These Terms of Service ("Terms") form a binding agreement between you and Juggernaut XL ("Juggernaut XL," "we," "our," or "us") governing your access to juggernautxl.com and the related hosted generation, account, billing, and content services (collectively, the "Services").

If you access or use the Services on behalf of a company or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms.

1. Your Right to Use the Services

Subject to these Terms, Juggernaut XL grants you a limited, worldwide, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for your internal, professional, or commercial use.

You may not copy, distribute, lease, resell, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, models, or underlying systems of the Services except to the extent such restriction is prohibited by applicable law.

2. Your Account

If you create an account, you are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must promptly notify us of any unauthorized use of your account or other security incident.

3. Restrictions and Acceptable Use

You agree to use the Services only in compliance with these Terms and all applicable laws and regulations.

You must not use the Services or submitted content in any way that:

  • infringes or misappropriates intellectual property or other rights of any third party;
  • violates applicable law or regulation;
  • generates or promotes unlawful, fraudulent, abusive, hateful, or deceptive content;
  • attempts to interfere with the integrity, security, or availability of the Services;
  • uses the Services to build competing products or conduct unauthorized model extraction, benchmarking, or reverse engineering;
  • circumvents usage limits, billing controls, or access restrictions.

4. Ownership of Content

A. Your Ownership

As between you and Juggernaut XL, you retain ownership of the content, files, prompts, and other inputs you submit to the Services, as well as the outputs generated for you through the Services, subject to these Terms and any third-party rights.

B. License to Operate the Services

You grant Juggernaut XL a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display your inputs and outputs solely as needed to operate, secure, maintain, and improve the Services, enforce these Terms, and comply with law.

C. Your Responsibility

You are solely responsible for ensuring that you have the necessary rights to any content you upload or submit and for your use of any generated output.

5. Paid Services

Certain features require payment. Pricing, plan structure, and billing terms may be presented on the pricing page or during checkout. Unless otherwise stated, fees are non-refundable except where required by law or expressly provided in these Terms.

6. Intellectual Property

The website, Services, and all related software, branding, design, and underlying technology are owned by Juggernaut XL or its licensors and are protected by applicable intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

7. Feedback

If you provide comments, ideas, suggestions, or other feedback about the Services, you grant Juggernaut XL a worldwide, perpetual, irrevocable, royalty-free license to use that feedback without restriction and without compensation to you.

8. Public References

We may identify you as a customer in our marketing materials only where permitted by law or where you have separately agreed to such use. If you wish to request removal of a permitted reference, contact support@juggernautxl.com.

9. Changes and Termination

We may modify these Terms from time to time. If we make material changes, we may provide notice through the website, by email, or by other reasonable means. Continued use of the Services after the updated Terms take effect constitutes acceptance of the revised Terms.

We may suspend or terminate your access to the Services at any time if you violate these Terms, create risk for the platform or others, or if we are required to do so by law. We may also discontinue all or part of the Services at any time.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT OUTPUTS WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JUGGERNAUT XL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US $100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Juggernaut XL and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Services, your content, your generated outputs, or your violation of these Terms or applicable law.

13. Dispute Resolution and Governing Law

Any dispute arising out of or relating to these Terms or the Services will be governed by applicable law as specified in any controlling commercial agreement, checkout terms, or mandatory legal requirements. Where permitted, disputes may be resolved through binding arbitration or in courts of competent jurisdiction.
